本日のテーマは「外資規制事業リストの実務運用」です。
１．外資規制事業リスト
ベトナムは2007年にWTOに加盟し、多くのサービス分野を開放することを公約した。しかし、外資規制の対象となる事業分野と条件を確認する国内の法的な仕組みが未整備であり、事前の検討および申請手続きではかなりの時間と手間を要することが問題となっていた。そこで、2021年1月1日に施行された改正投資法にて、外資規制の対象となる事業分野が明記された「外資規制事業リスト」が導入され、このリストに含まれない事業については、国内投資家と同じ条件が適用されることなっている。
２．事例：理容業
日本の投資家が理容業(VSIC:9631)を行う場合、WTOサービス分野公約（ポジティブリスト方式）では市場アクセスが公約されていないが、2003年に締結された日越投資協定（ネガティブリスト方式）では公約されている。実務では外国投資が認められないケースが多かった。しかし、外資規制事業リストでは理容業は含まれていないため、2023年頃から理容業を行う外資企業の設立が多く見られるようになった。
３．おわりに
2021年1月に導入された外資規制事業リストにより、外資規制の対象となる事業が国内法で明確になり、このリストに含まれない事業では内国投資家と同様の条件が適用され、ライセンス手続きが容易に進む事例が見られるようになった。今後も、様々なサービス業で外国投資家のライセンス手続きが円滑に進むことが期待される。

1. List of Restricted Businesses for Foreign Investment
Vietnam joined the WTO in 2007, committing to open up many service sectors. However, the domestic legal framework for identifying business sectors and conditions subject to foreign investment was not yet well established, requiring considerable time and effort for preliminary studies and licensing procedures. The amended Investment Law, which came into force on 1 January 2021, introduced a list of restricted businesses for foreign investment, which specifies the business fields subject to foreign investment restrictions, and businesses not included in this list are subject to the same conditions as domestic investors.
2. Case Study : Hairdressing Business
Market access for Japanese investors in hairdressing business (VISC:9631) is not committed in the WTO Services Sector Commitment, but is pledged in the Japan-Vietnam Investment agreement. In practice, foreign investment seemed to be restricted in many cases. However, as the list of restricted business for foreign investment does not include hairdressing business, many Foreign-invested enterprises (FIEs) engaged in the hairdressing business have been established since around 2023.
3. Summary
The introduction of the list of restricted businesses for foreign investment has clarified which businesses are subject to foreign investment restrictions under domestic law. As a result, businesses not included in this list are subject to the same conditions as domestic investors, allowing the licensing procedure to proceed more easily. It is expected that the licensing procedure for foreign investors in various service sectors will proceed smoothly in the future.
